1. ACCEPTANCE OF TERMS

By accessing and/or confirming an order using the Liquid Commerce Solutions Platform (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. DESCRIPTION OF SERVICES

ReserveBar Holdings Corp. ("ReserveBar") operates the Liquid Commerce Solutions Platform ("Platform") that connects customers with licensed beverage alcohol retailers as well as other fulfilling retailers ("Fulfillers"). We do not sell products directly. Instead, we facilitate transactions between customers and retailers who are the actual sellers and merchants of record for all products.

3. ELIGIBILITY & USE

To use this Platform, you must meet the following requirements:

• • You have the legal capacity to enter into these terms
• • You are not prohibited from using or fulfilling through the Platform under applicable laws
• • Your use of the Platform complies with all applicable laws in your jurisdiction
• • You agree to comply with all age verification requirements for specific product categories

4. ACCOUNT REGISTRATION

To place orders, you may need to create an account. You agree to:

• • Provide accurate, current, and complete information
• • Maintain and update your information as needed
• • Keep your login credentials secure and confidential
• • Be responsible for all activities under your account
• • Notify us immediately of any unauthorized use

5. ORDERING AND PURCHASING

5.1 Product Availability

• • All products are subject to availability based on information provided by the fulfiller
• • Prices are set by the fulfillers
• • Product titles, descriptions and images are provided for informational purposes

5.2 Order Process

• • Orders are placed with fulfillers through the Platform
• • The Platform facilitates the transaction but is not the seller or merchant of record
• • Fulfillers have the right to confirm or reject any order

5.3 Payment

6. DELIVERY AND FULFILLMENT

• • All deliveries are performed by fulfillers or third party delivery services
• • Delivery areas, timing, and methods are determined by individual fulfillers
• • The customer must be present to receive alcoholic beverage deliveries
• • Valid government-issued ID will be required upon delivery for age restricted products
• • Delivery personnel have the right to refuse delivery if proper ID cannot be verified

7. RETURNS, REFUNDS, AND EXCHANGES

Returns, refunds, and replacements are handled directly by the fulfiller from whom you purchased, if applicable. The Platform manages policies around:

• • Damaged or defective products
• • Incorrect orders
• • Cancellation policies
• • Orders categorized as return-to-sender

8. PROHIBITED USES

You may not use the Platform to:

• • Fulfill age restricted products to individuals without proper age verification
• • Provide false information about your identity
• • Resell products purchased through the Platform
• • Use automated systems to access or interact with the Platform
• • Attempt to circumvent security measures
• • Engage in fraudulent activities
• • Violate any applicable laws or regulations

9. INTELLECTUAL PROPERTY

The Platform and its content, including but not limited to text, graphics, logos, images, and software, are owned by ReserveBar or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.

10. PRIVACY AND DATA

The privacy of our customers and partners is important. Our collection, use, and protection of personal identifiable information is governed by our Privacy Policy.

11. SERVICE FEES

We reserve the right to charge service fees for Platform usage. Any applicable fees will be clearly disclosed before you complete your transaction.

12. DISCLAIMERS

We strive to maintain Platform availability but do not guarantee uninterrupted access. While we work to ensure accuracy, we do not warrant that product descriptions, pricing, or availability information is error-free or current.

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in the federal or state courts located in Delaware. Any claims must be brought within one (1) year of the date the claim arose.

15. COMPLIANCE WITH LAWS

You agree to comply with all applicable federal, state, and local laws, including laws governing the purchase and possession of alcoholic beverages, age verification requirements, import/export restrictions, and tax obligations.

16. TERMINATION

We may suspend or terminate your access to the Platform at any time for violation of these Terms, suspected fraudulent activity, legal or regulatory requirements, or other reasons at our sole discretion.
